Under minimal supervision, provides comprehensive legal research, document preparation and problem resolution for transactional areas within the Legal Department, and performs, complex and confidential legal assignments related to commercial transactions, infrastructure development and real estate matters. Assists with various projects and transactions and handles substantive functions that do not require a law degree. Works closely with other legal and governmental disciplines and various clients. Assists in the investigation, planning, research and evaluation process directed towards the management of the Company’s legal exposure and supports implementation of the Company’s business plans. Acts as point of contact with courts, agencies, clients, retained counsel and adversaries where appropriate.
1 Directly assist attorneys by conducting factual or legal research, analyzing documents, and/or drafting legal documents under attorney supervision in connection with commercial transactions and real estate matters.
2 Extract information from records and documents to create and maintain internal databases
3 Regularly initiate, develop, and enhance processes to organize department workflow or projects
4 Coordinate efforts of legal administrative assistants and temporary clerical staff on special projects and assignments
5 Organize and prepare written management reports and provide oral presentations of legal
information to supervisors
6 Handle department budgets, vendor engagement letters and portfolio management
7 Under supervision of appropriate counsel, may interact with management teams in other organizations, serving as project coordinator for clients’ legal projects
· Supports attorneys and Company management in legal and/or business affairs; and interfaces with the courts, agencies and their personnel, outside counsel and their staff, and adversaries.
· Be capable to fulfill all the duties of the paralegal position and monitor paralegal work product.
· Primary function and support will be mainly commercial transactions and real estate matters.
· Possess a Bachelor’s degree or equivalent; or paralegal certification or equivalent from an accredited institution or course of study, and six years of paralegal experience; or eight years of technical legal skills or eDiscovery experience can substitute for degree.
· Possess a thorough knowledge of laws, regulations, court practices, and procedures as needed for the particular duties required for a specific position. Possess excellent legal research skills, including knowledge of electronic search technology and relevant databases.
· Possess demonstrated appropriate judgment and ingenuity to perform the functions of the position and the requirements of the practice in the most appropriate manner using the best methods and/or practices. Possess the ability and willingness to respond to work load demands, problems and situations timely, appropriately and professionally.
· Possess strong oral and written communication skills, including being conversant with the legal terminology specific to the practice area. Possess organizational and interpersonal skills.
· Possess willingness to accept increased responsibilities and meet the demands of the practice in a mature and professional manner, whether working independently or as part of a team. Posses the willingness to work in a demanding environment.
· Proficiency in iManage document management system (DMS), Lexis +AI and Co-Pilot, or similar DMS systems and AI software.
· Proficiency in Word, Excel, PowerPoint and other Microsoft applications.
· Experience in the energy and utility industry.
· Expertise in contract drafting, title search and abstracting, survey interpretation, due diligence and title curative matters (e.g. release of liens, mortgages and other clouds on title).
· Experience with commercial transactions and/or real estate matters in Maryland, New Jersey, Delaware and/or the District of Columbia.
