Overview

We are looking for a business-minded, relationship-driven Senior Legal Counsel to serve as a primary legal partner to our commercial, sales, and operational teams across North America. This is a highly visible role in a fast-paced technology services environment, ideal for an attorney who enjoys being close to the business, solving practical problems, and influencing how work gets done.

You will own a broad commercial portfolio, help shape our contracting frameworks and processes, and play a key role in scaling a modern, efficient legal function. For the right person, this role is a springboard into senior legal leadership, with a clear path to expanded responsibility over time.

Responsibilities

Client-facing and commercial support

  • Be the primary legal contact for commercial teams: Act as the “face of Legal” for Sales, Client Services, and Business Development on day-to-day deal work and strategic initiatives.
  • Own the commercial contracting lifecycle: Draft, review, and negotiate a wide range of client-facing agreements, including: MSAs, SOWs, NDAs, BAAs, DPAs, service and subscription agreements
  • Provide practical, business-oriented advice: Develop a deep understanding of our services, technology offerings, pricing models, and client expectations to deliver clear, risk-balanced guidance under time pressure.
  • Enable revenue and customer success: Partner closely with sales leadership to support efficient deal cycles, remove friction, and help the business meet growth and retention goals.

 

 

Vendor, procurement, and third-party risk

  • Support vendor and subcontractor relationships: Draft, review, and negotiate vendor, subcontractor, and other third-party agreements, including technology, data, and professional services engagements.
  • Advise on risk and operational impact: Counsel internal stakeholders on commercial terms, data and security requirements, IP, indemnity, limitation of liability, and other key risk areas.
  • Align with procurement and finance: Collaborate with Procurement, Finance, and Security to ensure third-party engagements align with company policies, budgets, and risk tolerance.

Internal partnership and strategic advisory

  • Serve as a trusted advisor to the business: Anticipate legal needs, proactively flag issues, and propose practical solutions that support business objectives.
  • Collaborate cross-functionally: Work closely with IT, Security, HR, Marketing, Delivery, Sales Operations, and other teams to address legal questions, support new initiatives, and ensure alignment with contractual and regulatory obligations.
  • Improve templates, playbooks, and processes: Help refine and maintain contract templates, negotiation playbooks, fallback positions, and approval workflows to drive consistency and scalability.
  • Support governance and compliance initiatives: Assist with policy development, training, and internal communications related to contracting, data, and commercial practices.

eDiscovery, data, and privacy (preferred experience)

  • Advise on data handling and eDiscovery workflows: Provide guidance on data retention, collection, processing, and production obligations, particularly in support of eDiscovery or information governance requirements.
  • Support privacy and security compliance: Partner with Security, IT, and Delivery teams to help ensure compliance with privacy, data security, and contractual data protection obligations.
  • Contribute to client-facing data responses: Assist with security questionnaires, data protection addenda, and related client diligence.

Leadership, ownership, and growth

  • Operate with autonomy and accountability: Take ownership of your matters, prioritize effectively, and drive issues to resolution with minimal oversight.
  • Demonstrate sound judgment and strategic thinking: Balance legal risk with business needs, and know when to escalate or seek input from the Deputy General Counsel or other stakeholders.
  • Mentor and influence without formal authority: Share knowledge, help upskill business partners on legal concepts, and contribute to a culture of collaboration and continuous improvement.
  • Grow into broader leadership: This role is designed for someone who has the potential to step into a Deputy General Counsel–level position within approximately 5–7 years, as responsibilities and the organization evolve.

Qualifications

Education and bar admission:

  • J.D. from an accredited law school and licensed to practice in at least one U.S. jurisdiction.

 

Experience:

  • 7-10 years of legal experience, with a strong preference for a combination of law firm training and in-house corporate counsel work.
  • Meaningful experience reviewing, drafting, and negotiating complex commercial contracts, ideally in a technology, SaaS, or services environment.
  • Commercial and sales alignment: Demonstrated ability to partner effectively with Sales and customer-facing teams, including comfort working directly with clients and counterparties.
  • Core skills:
  • Excellent communication: Clear, concise writing and the ability to explain legal concepts in plain language.
  • Relationship-building: Strong interpersonal skills and a collaborative, low-ego working style.
  • Judgment and ownership: Ability to work independently, manage competing priorities, and make thoughtful, risk-based decisions in real time.

Preferred qualifications

  • Industry background:
  • Experience supporting technology services, SaaS, consulting, or managed services organizations.
  • Data and eDiscovery exposure: Familiarity with eDiscovery workflows, information governance, or compliance programs.
  • Process and scale mindset: Interest in operational excellence, process design, and building scalable legal support models (e.g., playbooks, self-service tools, knowledge bases).
