I. Job Summary
The Commercial Transaction and Litigation Paralegal will provide legal and administrative support to 3 Senior Legal Counsel in the Greater Mid-Atlantic region (PA, NJ, NY, MD, DE, VA), who have responsibility over commercial transactions/claims, customer service agreement and complaint issues and responses, litigation support, subpoena response, and management of certain regulatory document filings both in hard copy and electronically. Additionally, as the Commercial Transaction Paralegal you will assist in reviewing and responding to commercial claims and preparing basic transactional documents under supervision of Senior Counsel, including reviewing claims, researching transaction documents, researching legal issues, preparing chronologies, drafting basic commercial agreements, negotiating and drafting settlement agreements and preparing releases. 

II. Essential Duties and Responsibilities
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Other minor duties may be assigned.

  • Review and Redlining routine and recurring contracts and other legal documents, including NDAs, service contracts, terms of RFP, RFI, RFQ and subconsultant contracts; summarizes potential concerns and issues. 
  • Conducts in-depth legal research and analyzes law sources such as statutes, judicial decisions, legal articles and/or codes.
  • Collaborates with sales staff to review revisions requested by customer(s) to WM’s Service Agreement and reviews and revises customers’ form contracts. 
  • Researches, reviews and prepares written responses to claims from customers, third-parties or government agencies.
  • May conduct interviews to gather legal information or confer with personnel in other departments and outside the organization while performing research or other legal responsibilities.
  • Prepares and files certain regulatory paperwork required by the company’s licenses and contracts with various municipal and state agencies.
  • Prepares routine and complex legal documents.
  • Assists attorneys with litigation management activities including the maintenance of files, and may organize meeting minutes, and exhibits.
  • Manages service of process and “litigation hold” process for new cases.
  • Assists in implementation of other Legal related processes and technologies.
  • Responds to questions, subpoenas, requests for records, legal documentation/contracts and/or other requests from outside counsel and Company management. Disseminates requests and related information as required and/or directed.
  • Collaborates with e-discovery team and assist with document review as necessary for litigation. 
  • May review and analyze recommendations made by outside counsel. Obtains and communicates appropriate authorization when necessary for settlements. Coordinates reporting from outside counsel and consultants. May assist in-house attorneys in cost management regarding outside vendors and law firms. 
  • Ensure compliance with corporate policies and procedures, including the signing authority policy.

IV. Qualifications

A. Education and Experience

  • Education: High School Diploma (accredited) or GED (accredited) 
  • Experience: Four (4) years of relevant work experience (in addition to education requirements)

B. Certificates, Licenses, Registrations or Other Requirements

  • A.B.A. Approved Paralegal Certificate preferred

C. Other Knowledge, Skills or Abilities Required

  • Must possess a strong working knowledge with Microsoft office products
  • Ideal candidate must have strong oral and written communication skills
  • Highly detail oriented 
  • Experience with case or matter management systems and reporting tools
