About the Role

Jeppesen ForeFlight is seeking a highly motivated and business-oriented Counsel, Transactions & Commercial Operations to join our Office of the General Counsel (OGC) in Poland.

Reporting to senior counsel within the OGC, this role will provide legal support across a broad and dynamic portfolio of corporate transactions and commercial operations, including M&A, corporate governance, procurement and vendor contracting, insurance, finance, collections, real estate, and litigation and disputes.

This is an opportunity to join a growing legal function and help shape how legal support is delivered across the business. You will work closely with senior counsel on transactions and commercial matters and partner with the corporate paralegal on governance activities.

While the role has defined areas of responsibility, its scope will evolve with the needs of the business. We value lawyers who are comfortable working across disciplines, exercising sound judgment, and taking ownership of new and complex matters.

What You’ll Do

  • Commercial & Procurement: Develop procurement playbooks, contracting guidelines, and approval parameters, and serve as the primary legal point of contact for vendor and procurement matters, including escalations from the Procurement team.
  • Corporate Governance: Oversee and support the corporate paralegal in managing corporate governance activities, including board and committee calendars, minutes and resolutions, subsidiary governance, delegation-of-authority frameworks, and insider-trading policies.
  • M&A & Corporate Development: Support mergers, acquisitions, and other corporate development initiatives in partnership with senior counsel, including due diligence, transaction execution, closing, and post-merger integration.
  • Collections & Insolvency: Manage collections and customer insolvency and bankruptcy matters, working with the corporate paralegal to establish scalable processes, playbooks, and automated matter-tracking tools.
  • Insurance: Support management of the company's global insurance program, including renewals and placement, in coordination with senior counsel. Help develop efficient and repeatable processes for renewal data collection and analysis.
  • Finance: Advise on legal matters relating to finance, including intercompany arrangements and legal support for accounting and treasury activities.
  • Litigation & Disputes: Support commercial disputes, litigation, eDiscovery, litigation holds, subpoenas, and regulatory investigations, working closely with senior counsel and external legal advisers where appropriate.
  • Real Estate & Facilities: Provide legal support for real estate, facilities, environmental, and related operational matters.
  • Legal Operations: Develop templates, playbooks, guidance, and other resources that promote consistency, efficiency, and scalable legal support across the business.
  • Process & Technology: Contribute to the development of the legal-operations function, including matter management, workflow improvements, automation, and department metrics.
  • Broader OGC Support: Take on additional legal matters and strategic projects as business needs evolve. Your core responsibilities are a starting point, not a ceiling.

What You’ll Bring

Required Qualifications

  • Juris Doctor or equivalent law degree from an accredited institution.
  • Active bar membership and good standing in at least one relevant jurisdiction.
  • At least 5 years of relevant legal experience, ideally combining law-firm and in-house experience.
  • Demonstrated experience advising on commercial transactions, procurement, corporate governance, and M&A.
  • Strong knowledge of contract law and general commercial legal principles.
  • Excellent written and verbal communication skills in English.
  • Strong business judgment and the ability to provide practical, commercially focused legal advice.
  • Ability to manage multiple priorities independently while working collaboratively across functions and with stakeholders at different levels of the organization.
  • A proactive, pragmatic approach and willingness to take ownership of unfamiliar or evolving areas of work.

Preferred Qualifications

  • In-house legal experience within the technology, software, aviation, or another complex commercial environment.
  • Experience with creditors' rights, insolvency, or bankruptcy matters.
  • Experience managing or supporting corporate insurance programs.
  • Experience advising on finance, real estate, facilities, or environmental matters.
  • Litigation and dispute-management experience, including managing external counsel.
  • Experience working in a regulated industry, particularly aviation, software, or technology.
  • Experience establishing legal processes, playbooks, automation, or legal-operations capabilities from the ground up.
  • Experience working in an international or multi-jurisdictional business environment.
