Overview

Nelson Mullins is seeking an experienced Corporate Paralegal to join our Atlanta office and provide essential administrative and transactional support to attorneys and paralegals within our Corporate Mergers & Acquisition team. In this role, you will assist with general corporate matters and corporate filings 

A Day in the Life

The Corporate Paralegal will be responsible for general corporate matters and corporate filings, including but not limited to: preparing corporate amendments, withdrawals, mergers, conversions, and dissolution documents; preparing and filing fictitious name applications while ensuring compliance with publication requirements; drafting and submitting IRS forms, such as EIN applications and S-Election forms, to the Internal Revenue Service; maintaining corporate minute books, issue stock and membership interest certificates, and keeping accurate stock ledgers; preparing and filing corporate annual reports with government agencies. Further responsibilities may include assisting with corporate transactions such as mergers and acquisitions, supporting the preparation of disclosure schedules, maintaining closing checklists, help with data production, organize and maintain data rooms, handle the preparation and filing of UCC financing statements while conducting UCC/lien/litigation/bankruptcy searches, and other related general corporate tasks.

The candidate must demonstrate strong technology and analytical abilities, with the ability to analyze and interpret information in transactional and corporate documents. Effective communication skills, both oral and written, are essential, as is a strong sense of accountability, ownership of projects, and a proactive approach to resolving issues. The ideal candidate will possess the ability to assess information, anticipate potential issues and outcomes, proactively resolve any issues, and make sound decisions. They should be capable of managing multiple requests, prioritizing tasks effectively, and meeting deadlines. A strong client service orientation, excellent teamwork skills, and the flexibility to work overtime when necessary are also key attributes for success in this role.

 

  • At least three years of relevant experience as a corporate paralegal in a law firm setting, with a solid understanding of corporate practice and procedures
  • Strong technology and analytical abilities, with the capacity to review, analyze, and interpret information in transactional and corporate documents
  • Effective written and verbal communication skills
