Overview

Blackhawk Network’s global legal department has an opening for a paralegal in its Pleasanton, California office. This position provides support to the legal group primarily in the area of litigation, corporate governance, SEC filings, entity maintenance and general corporate matters, and entails frequent interaction with our Board of Directors, senior executives, as well as senior executives of our foreign subsidiaries.

Responsibilities

  • Discovery Management: This is often the largest part of the job. They manage the process of exchanging information (documents, emails, data) between parties.

    • E-Discovery: Managing, organizing, and reviewing vast amounts of electronic documents using sophisticated software (Relativity, I-Pro).

    • Drafting: Preparing drafts of discovery requests (Interrogatories, Requests for Production of Documents) and responses for attorney review.

  • Case Preparation & Filing:

    • Drafting routine legal documents, such as summonses, complaints, and motions.

    • Managing and organizing the pleadings file (official court documents).

    • Coordinating and handling court e-filings, ensuring compliance with all court rules and deadlines.

  • Trial Support:

    • Preparing for depositions, including organizing exhibits and coordinating logistics.

    • Organizing and preparing trial exhibits and trial binders.

    • Assisting attorneys in the courtroom by managing documents and real-time information flow.

  • Legal Research: Conducting research on statutes, case law, and regulations relevant to the corporate dispute using databases like Westlaw or LexisNexis.

  • Assist in preparation of SEC filings, including Forms 10-K, 10-Q and 8-K, Section 16 Forms and other filings with the SEC and NASDAQ;
  • Assist with D&O questionnaires, proxy materials, and annual meeting preparation and documentation;
  • Drafting by-laws, resolutions, consents, and corporate maintenance documents, certificates and agreements.
  • Create and maintain corporate minute books for parent company and its US and foreign subsidiaries;
  • Draft and prepare resolutions, bylaws, and other documents related to entity formation, minutes, consents, stock certificates and related transfer documents, officer certificates and related basic corporate and commercial documents;
  • Entity management/corporate maintenance including drafting and filing corporate charter documents, merger documents and documentation for foreign qualifications and registrations in accordance with applicable law and company policies and practices.

Qualifications

  • Minimum of 8 years of related work experience with a minimum of 5 years experience as a paralegal with a large law firm or corporate law department.
  • Associate’s degree or Bachelor’s degree and Paralegal Certificate;
  • Demonstrated proficiency in corporate entity formation and management, including familiarity with wide-range of applicable laws. International entity management experienced desired.
  • Advanced Microsoft Excel/Word/Powerpoint knowledge;
  • Proxy, Annual Meeting, Board minutes and other corporate experience is highly preferred
  • Stock administration experience is desired but not required
  • Excellent reference;
  • History of job stability;
  • Strong communication skills – interpersonal, presentation and written;
  • Strong administrative skills and keen attention to detail;
  • Ability to manage multiple tasks and prioritize;
  • Enthusiastic team player, good sense of humor, proactive self-starter and eager learner; and
  • Candidate must be legally entitled to work and reside in the United States.
  • Assist with M&A transactions as needed;
  • Serve as internal resource for information regarding corporate records, organizational structure, and other governance related items;
  • Coordinate signatures, notarizations, and legalization of various legal documents;
  • Assist with contract tracking and maintenance;
  • Assist with business transactions and related due diligence; and
  • Manage routine correspondence, organization of files, and other administrative tasks.

Benefits

Salary Range for California Residents Only: $124,070.00 to $167,500.00

Salary Range for Illinois Residents Only: $99,130.00 to $133,840.00
