Job Description:

Qualifications:

  • Minimum of 5 years of experience as a commercial paralegal, with significant exposure to for entity management, employment law and sourcing law.
  • Strong understanding of corporate law.
  • Familiarity with international corporate governance standards is a plus.
  • Proficiency in legal research tools and Microsoft Office Suite.
  • Experience with entity management software and databases.
  • Excellent analytical, communication, and interpersonal skills.
  • Ability to work independently and as part of a team in a fast-paced, dynamic environment.
  • High ethical standards and a commitment to maintaining confidentiality and integrity.
  • Willingness to support a hybrid role requiring two to three days onsite in Greater London-based office.
  • Epiq Counsel partners with industry-leading clients in support of their sophisticated interim talent needs. Must be interested in practicing in an alternative, fixed-term legal services model.

Support our multinational corporate client on the following:

  • Conduct legal research and provide summaries on various legal issues related to corporate governance and entity management.
  • Draft and review basic legal documents and correspondence.
  • Assisting in drafting and reviewing various legal documents, including board minutes, resolutions, and shareholders agreements.
  • Maintain a database of all group entities, including domestic and international subsidiaries.
  • Supporting solicitors with mergers, acquisitions, and other corporate transactions by conducting due diligence, preparing transaction documents, and managing document execution.
  • Assisting with company secretarial duties, including filing at Companies House, maintaining statutory registers, and preparing necessary documentation for corporate filings.
  • Conducting legal research and preparing reports on corporate law issues as needed.
  • Managing and updating corporate files and records.
  • Assisting with the formation of new companies, drafting articles of incorporation, and supporting other corporate governance matters.
  • Supporting the team with general administrative tasks, including file management and client communications.
