Lawyers on Demand, a Consilio company is seeking an experienced Bond Counsel to provide comprehensive legal services related to bond issuances and financial transactions for a governmental healthcare agency client in Washington. The successful candidate will be responsible for advising our client on a wide range of legal matters pertaining to bond issuances, ensuring compliance with relevant laws and regulations, and representing the interests of our clients throughout the financing process. Responsibilities include, advising the client and its staff on legal requirements related to bond issuances, including federal tax laws and health care financing regulations; consulting with clients on the structure of proposed bond issues; protecting the interests of clients in all financing transactions; and participating in meetings and strategic planning sessions related to bond issues. Washington Bar required.
Required Services
- Prepare necessary legal documents for bond issuances, including loan agreements, trust indentures, and authorizing resolutions.
- Negotiate terms of documents with various parties involved in the financing process.
- Review and negotiate legal documents prepared by other parties, such as official statements and offering memoranda.
- Prepare portions of the official statement as required.
- Conduct due diligence reviews related to bond issuances in order to render tax opinions.
- Prepare legal opinions of bond counsel, including opinions regarding tax exemption.
- Prepare closing certificates and coordinate bond issuance closings.
- Advise clients on securities law responsibilities and disclosure requirements.
- Conduct due diligence reviews of facilities for disclosure opinions.
- Prepare portions of official statements and review statements prepared by others.
- Prepare or review financing documents prepared by other parties.
- Act as “Disclosure Counsel” to ensure adequacy and accuracy of information in official statements.
- Attend Authority meetings and provide legal advice as requested.
- Answer pre- and post-issuance legal questions regarding tax, securities, and state law issues.
- Provide additional legal services and advice as requested by the Authority.
- Participate in all negotiation and document review meetings and conference calls of the parties to a financing mentioned above and attend (may be by teleconference) all meetings of the Authority relevant to the financing.
Qualifications
- JD from an accredited law school.
- Admitted to the Washington state bar and in good standing.
- Minimum of 5 years of cumulative experience in municipal finance, tax, bond counsel, or financial services related field.
- Strong understanding of federal tax laws and regulations related to bond issuances.
- Ability to work independently and manage multiple projects simultaneously.
- Experience representing public entities or health care providers is a bonus.
